Purpose, publisher, and professional use
These Terms of Service (“Terms”) govern access to and use of Biznetics, a service published by Codetics. Biznetics provides digital professional cards, QR codes, vCards, scan analytics, identified introductions, AI-assisted insights, subscriptions, workspaces, and domain services.
The service is intended exclusively for individuals or organizations acting for business or professional purposes. By creating an account or purchasing a plan, you represent that you act in a professional capacity and are at least 18 years old. If mandatory law nevertheless treats you as a consumer, those mandatory rights prevail over any inconsistent provision.
Contract notices may be sent to codetics@outlook.com. A proposal, order form, or Enterprise agreement signed with Codetics may supplement these Terms. If they conflict, the more specific signed document controls.
Acceptance and authority
You accept these Terms when you create an account, use the service, or confirm an order. If you act for an organization, you represent that you have authority to bind it. In that case, “you” means that organization and its authorized users.
You are responsible for use of the service by workspace members and must ensure that they comply with these Terms. Anyone who does not accept the Terms must not use Biznetics.
Accounts, access, and administration
- You must provide accurate information, keep your profile current, and not impersonate another person.
- You must protect credentials, use a strong password, and promptly report unauthorized access.
- An account is personal. Workspace seats may not be shared concurrently by multiple people.
- A workspace owner or administrator may manage permissions, subscriptions, domains, and member access. They may access work data needed to administer the service.
- You are responsible for activity through your account until you report compromise and take reasonable steps to secure it.
How cards and scans work
A public card may be viewed without an account and shared by URL, QR code, slug, subdomain, or custom domain. You choose whether the card is public or private and whether your email or phone number is displayed. You understand that published information may be copied, forwarded, or indexed by third parties outside Biznetics' control.
Biznetics records card views and vCard downloads to provide analytics to the owner. A signed-in visitor with a profile may appear as identified with their display name, role, and company. The privacy policy describes this operation in detail.
Use of contact information
User content and data
You retain rights in text, images, contact details, trademarks, links, and other content you provide (“Content”). For the period you use the service, you grant Codetics a non-exclusive, worldwide, royalty-free, technically necessary license to host, reproduce, format, display, transmit, and back up Content to operate Biznetics and carry out your instructions.
You represent that you have the necessary rights and permissions, that Content is accurate to your knowledge, and that it does not infringe another person's rights, reputation, or privacy. Do not enter sensitive personal data, third-party trade secrets, medical data, banking data, or confidential information that is unnecessary for a professional card.
You may make a profile private or request account deletion. Some data may remain where required by law, contract performance, security, or the defense of legal claims.
Artificial-intelligence features
AI insights use professional information supplied in two profiles to suggest an indicative score, common ground, opportunities, an opener, and a next step. Outputs may be incomplete, inaccurate, biased, unavailable, or similar to outputs generated for other users.
- Outputs do not verify identity, qualifications, references, creditworthiness, integrity, or suitability.
- They are not legal, financial, tax, recruitment, investment, or compliance advice.
- You must review every message before sending it and must not make an important decision solely from a Biznetics output.
- You must not use AI to create unlawful rankings, discriminate, profile sensitive data, or make legally significant decisions without required safeguards.
Plans, prices, taxes, and orders
Features and limits for each plan are those shown on the Pricing page or order form when purchased. The free plan may limit cards, links, scans, customization, storage, or AI. Add-ons supplement a base plan and follow their stated billing period.
Prices are shown in euros. Unless stated otherwise, they exclude taxes; VAT and other applicable taxes are calculated at checkout using billing information. The price, billing interval, renewal date, and total shown in Stripe Checkout control for that order.
You authorize Stripe and Codetics to charge the saved payment method for recurring amounts, taxes, and applicable add-ons. You must keep complete and valid payment information.
Renewal, payment, and failed payment
A paid plan runs for the selected monthly or annual period and automatically renews for successive periods of the same length until canceled. Stripe is the source of truth for subscription status. A checkout return page does not itself unlock features; access updates after secure confirmation from Stripe.
If payment fails, we may retry the charge, request updated payment details, temporarily maintain access, limit features, or return the workspace to the free plan. Amounts due remain payable. You are responsible for reasonable collection costs permitted by law.
We may change prices for a future billing period by notifying you before the next renewal. You may cancel before the new price takes effect if you do not accept it.
Cancellation, plan changes, and refunds
You may manage or cancel a paid plan through the Stripe Customer Portal available in Billing. Unless Stripe or an order form states otherwise, cancellation takes effect at the end of the paid period and prevents renewal.
Payments are non-refundable and partially used periods are not credited, except for billing error, a written commitment, or mandatory law. Upgrades, downgrades, effective dates, and proration follow the terms displayed in the Stripe portal.
When access expires, paid features are disabled. Cards or domains above free-plan limits may be hidden or disconnected after a reasonable period. Export any needed data before access ends.
Domains, third-party services, and links
To connect a domain, you must be authorized to use it, configure the requested DNS records, and maintain the configuration. Biznetics may verify ownership, reject a deceptive or unlawful name, suspend an unverified domain, and remove it when the subscription or authorization ends.
The service depends on providers including Google Firebase, Google Gemini, Stripe, and Vercel. Their outages, changes, and terms may affect features. Calendars, social networks, and sites linked from a card are operated by third parties; Biznetics does not control their content, security, or availability.
Prohibited use
You must not, directly or indirectly:
- use the service unlawfully, fraudulently, deceptively, discriminatorily, threateningly, or in a way that infringes another person's rights;
- publish malicious content, impersonate anyone, claim a false affiliation, or collect data without authority;
- send spam, automate unsolicited outreach, resell scan data, or build contact databases without a lawful basis;
- bypass plan limits, share seats, disrupt security, probe vulnerabilities, or access an account, API, or data without permission;
- bulk extract, scrape, copy, disassemble, or attempt to reconstruct service code, models, protections, or logic, except where mandatory law permits;
- use Biznetics or its AI outputs to train a competing service, create unlawful automated decisions, or process sensitive categories of data.
Confidentiality and data protection
Each party protects non-public information identified as confidential or obviously confidential with at least the care used for its own similar information. It uses that information only for the relationship and discloses it only to people who need it and are bound by confidentiality.
This duty does not cover information that becomes public without breach, was already lawfully known, is lawfully received from a third party, or is independently developed. Disclosure required by law is allowed after prior notice where legally permitted.
The privacy policy describes Biznetics' processing of personal data. An organization using Biznetics for its own purposes remains responsible for notices, legal bases, rights requests, and direct marketing obligations.
Intellectual property
Codetics and its licensors retain all rights in Biznetics, including software, interface, trademarks, databases, models, text, illustrations, and documentation. Subject to payment, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service during the subscription for internal professional purposes.
No rights are transferred beyond this permission. Feedback, suggestions, or ideas you provide may be freely used to improve the service without compensation, provided we do not disclose your confidential information.
Availability, maintenance, and changes
Biznetics is provided using commercially reasonable efforts. We aim to keep it available and secure, but do not guarantee uninterrupted, error-free operation or a particular business outcome. Maintenance, incidents, updates, provider limits, or external events may interrupt service.
We may change, replace, or remove a feature. If a change materially reduces an essential paid feature during a current period, we will provide reasonable notice where possible and, if no equivalent alternative is offered, may provide a proportionate remedy for the unused portion.
No service level, priority support, custom backup, or response time is guaranteed without a specific written commitment.
Suspension and termination
We may immediately suspend or limit an account for a security risk, unlawful use, harm to a third party, failed payment, material breach, or authority request. Where circumstances allow, we will explain the reason and provide a reasonable opportunity to cure.
Either party may terminate for a material breach not cured within 15 days after written notice, except for emergencies or breaches that cannot be cured. You may stop using the free plan at any time and request account closure.
When the contract ends, access rights cease. Terms concerning amounts due, confidentiality, ownership, liability, disputes, and obligations that by nature survive remain effective.
Warranties and liability
You use Biznetics under your professional responsibility. You remain solely responsible for Content, messages, relationships, decisions, regulatory duties, and contracts with contacts. Biznetics does not guarantee a contact's response, opportunity quality, revenue, hiring, investment, or partnership.
To the extent permitted by law, Codetics is liable only for proven, foreseeable, direct loss caused by contractual breach. Codetics is not liable for indirect loss or loss of revenue, margin, customers, data, opportunity, or reputation.
Codetics' total liability in any twelve-month period is limited to the fees excluding tax paid for Biznetics in the twelve months before the event giving rise to liability or, for a free user, EUR 100. This cap does not apply to fraud, gross negligence, personal injury, breach of an essential obligation that deprives the contract of its substance, or where limitation is prohibited by law.
You will indemnify Codetics against third-party claims arising from your Content, direct marketing, unlawful service use, or infringement of another person's rights, to the extent attributable to you and permitted by law.
Force majeure, governing law, and general terms
Neither party is liable for delay or failure caused by an event reasonably beyond its control, including widespread outage, disaster, conflict, government action, major cyberattack, network failure, or failure of a critical provider, provided it gives notice and mitigates the effects.
These Terms are governed by French law. Before filing a claim, the parties will attempt in good faith to resolve the dispute for 30 days after written notice. If unresolved, jurisdiction is determined under the applicable rules of procedure.
If a provision is invalid, it is adjusted only as necessary and the rest remains effective. Failure to enforce a right is not a waiver. You may not assign the contract without written consent. Codetics may assign it in a reorganization, business transfer, or to an affiliate, subject to preserving your rights.
We may update the Terms for service, security, or legal changes. Material changes are announced before taking effect. If they adversely affect a current paid plan, you may cancel before the effective date. Contract questions must be sent to codetics@outlook.com.
